March 20, 2025 at 10:24 amHi I have my startup and the company still exists legally and we are in stage of closing it and wrapping it up, we are not doing any significant job in the company from past 3-4 months and we have already informed our investors regarding this. The thing is my co- founder got a job offer and they require a email drafted from me that my co-founder ‘has relinquished all his roles, responsibilities, and obligations with the company and has no outstanding commitments, liabilities, or dues. He is free to pursue any new professional opportunities’.As this is just a formality which is necessary for is joining, my question is can this email can show if any thing goes wrong in the wrapping up of the company in the future, would this email make me sole responsible for me in the future, like is this email be used as a resignation from directorship? Can this email be used to proof that he is relieved? My co founder has not send us any resignation, officially, it is just this email

March 20, 2025 at 10:48 amCorrect.. in the eyes of law he very much continues to be a director of the company..cessation of directorship, sale of shares to founder or incoming director and finally resignation by filing relevant form with ROC will only record the factum of his exit
